ANKA Terms of Service

Welcome to ANKA, which brings together ANKA Shop services (shop.anka.africa), as well as ANKA Ship and ANKA Pay, operated by GSPlatform Co. (a Delaware corporation) via its subsidiary Mansaart USA, Inc. We act as your Merchant of Record for all sales conducted on the Platform, as a seller towards customers, a platform operator, and the client for vendors, without holding the status of a payment or electronic money institution within the meaning of the American Monetary and Financial Code. According to that, we handle global tax compliance, billing, and fraud prevention so vendors can focus on creating great products.

These Terms of Service (“Terms”) describe our commitments to you, and your rights and responsibilities when using our e-commerce platform and services. Please read them carefully. If you don’t agree to these Terms, don’t use our services.

ABOUT THE PLATFORM

The www.anka.africa platform is a digital ecosystem for vendors of African products or services, or those inspired by Africa. It combines three main services:

1. ANKA Shop: The Shop

• A community e-commerce platform specialized in fashion, handmade goods, and African crafts.
• It allows the sale of products in limited series and provides communication tools for members.

2. ANKA Ship: The International Shipping Service

• Provides access to preferential rates with major carriers (e.g., DHL, FedEx).
• ANKA operated by GSPlatform Co reserves the right to suspend access in case of fraud, non-payment, or violation of its terms.

Key Conditions:

• Shipping labels are payable as soon as they are generated, even if unused.
• ANKA operated by GSPlatform Co reserves the right to suspend access in case of fraud, non-payment, or violation of its terms.

3. ANKA Pay: The Payment

• Vendors receive payouts in a payment method of their choice based on what is available in their country, but also have visibility into sales through a dashboard.
• Crucial Role (Merchant of Record): ANKA operated by GSPlatform Co acts as the official seller of record for customers.

1. Parties and Definitions

These Terms govern your access to and use of the services and ecommerce solutions provided by GSPlatformCo Inc., a Delaware Corporation (“ANKA,” “we,” “us,” or “our”).

• “You” or “Vendor”: The individual or entity using our Services and selling goods to us.
• “Customer”: The end-consumer who purchases a product from ANKA.
• “Product”: designates a product or service offered.
• “Services”: The shipping, dashboard, payment, and checkout systems.
• “Content(s)”: designates any content provided by a vendor on the Site, including, but not limited to, any Product, all data, information, texts, any listed item, description, any comment, any evaluation, name, pseudonym, brand name, photograph, image, sound, video, logo, and any other element provided by the vendor on the Platform, during registration, in an electronic message, on a blog, or any other page of the site.
• “Merchant of Record (MoR)”: The legal entity authorized to process a consumer’s credit card and responsible for the transaction. ANKA operated by GSPlatform Co acts as the MoR.

2. The Reseller Relationship (How ANKA Works)

This section is critical. Unlike a standard website builder, ANKA is not just a tool; we are a reseller.

2.1 Appointment as Reseller: By creating an account and listing products for sale, you appoint ANKA as the non-exclusive reseller of your products. When a Customer purchases your product, they are technically buying it from ANKA operated by GSPlatform Co, not directly from you.

2.2 Our Role: As the Merchant of Record, ANKA operated by GSPlatform Co is responsible for:

• Processing payments and fighting fraud.
• Collecting and remitting global sales tax, VAT, and GST to the appropriate government authorities.
• Issuing receipts and invoices to Customers and vendors.
• Providing first-line billing support to Customers.

2.3 Your Role: You retain all intellectual property rights to your products. You are responsible for:

• Creating and delivering the product (or providing the file for us to deliver).
• Assisting us with providing technical support and product-specific assistance to Customers.
• Ensuring your products do not violate laws or third-party rights.

2.4 Shipping ResponsibilitiesANKA Ship provides you with an international shipping service, allowing you to access preferential rates negotiated with third-party carriers (e.g., DHL, FedEx). You are responsible for entering the information accurately on our platform so that the label and stuff can get correctly generated on our platform. You must pay ANKA for the cost related to shipping and then ANKA pays the providers.

3. Account Requirements

3.1 Eligibility: You must be at least 18 years old to use our Services. You must provide accurate, current, and complete information during registration and keep your account information updated. You must also provide a legal Registration in your country of operation and provide documentation to ANKA.

3.2 Security: You are responsible for maintaining the security of your account and password. ANKA cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. You must notify us immediately of any unauthorized use of your account.

4. Fees, Payouts, and Taxes

4.1 Fees ANKA charges the following fees, which are deducted automatically from your payout balance:

• Subscription Fee: A non-refundable, automatically renewing plan fee is due depending on your chosen plan: Quarterly (€60), Semi-annual (€100), or Annual (€200).
• Vendors receive a payout equal to the retail price less ANKA Shop service and platform fees (typically 12%).
• Transactional Fees: 4% on the total amount of the order (including shipping costs).
• We reserve the right to modify these fees upon notice.

4.2 PayoutsWe will pay you the Net Revenue (Gross Sales minus ANKA Fees, Taxes, and Refunds). All funds from sales are temporarily held in the payout balance of your dashboard.

• Payout Request Requirement: Funds in the payout balance are only due and payable upon a withdrawal request initiated by you, subject to validation by ANKA.
• Withdrawal Limits: The total amount of authorized withdrawals is currently capped at €15,000 (or equivalent) per civil week.
• Compliance Review: Payouts are subject to our risk assessment and may be held if we suspect fraud, a breach of these Terms, or if you fail to meet our Know-Your-Customer (KYC) / Know-Your-Business (KYB) regulatory compliance requirements.
• Vendors are paid based on invoices addressed by them to ANKA operated by GSPlatform Co and automatically generated from their dashboard.
• Payouts are made to the bank account or payout method you designate.
• Payouts are made on the Wednesdays (weekly and Bi-weekly), are subject to risk assessment and may change.
• We reserve the right to hold payouts if we suspect fraud, a breach of these Terms, or excessive chargebacks.

4.3 Taxes:

• Sales Tax/VAT: As the MoR, ANKA, operated by GSPlatform Co is responsible for calculating, collecting, and remitting sales tax, VAT, and GST on sales made to Customers. You should not collect these taxes yourself on transactions processed by ANKA.
• Income Tax: You are solely responsible for paying any income taxes on the payouts you receive from ANKA. We may request tax forms (such as a W-9 or W-8BEN) before issuing payouts.

4.4 Negative Balances If your account balance becomes negative (e.g., due to refunds or chargebacks exceeding sales), you agree to pay the negative balance to ANKA within seven (7) days. We may offset negative balances against future payouts or charge your connected payment method.

5. Refunds and Chargebacks

5.1 Refund Policy Because ANKA operated by GSPlatform Co is the Merchant of Record, we ultimately control the refund policy for transactions to ensure compliance with consumer protection laws. However, we generally defer to the refund settings you select in your dashboard, provided they meet legal minimums.The Customer must return the product within a maximum of fifteen (15) days in the event of non-compliance or exercise of the right of withdrawal.

5.2 Chargebacks If a Customer disputes a charge (files a chargeback), you are responsible for the disputed amount and any associated chargeback fees levied by payment processors. ANKA operated by GSPlatform Co will deduct these amounts from your account balance. Frequent chargebacks may result in account suspension. In the event a vendor contests a deduction, a chargeback, or a refund decision, ANKA operated by GSPlatform Co shall have the final and binding authority to resolve the dispute, including any decision regarding the funds in the dashboard.. This is acknowledged by the vendor, given that ANKA operated by GSPlatform Co is the sole entity interacting with its banking and payment service providers.

6. Acceptable Use and Prohibited Products

You agree not to use the Services for any unlawful purpose or in furtherance of illegal activities. Because we act as the MoR, we are strictly regulated by financial institutions.

6.1 Prohibited Products: You may not use ANKA to sell:

• Illegal drugs, drug paraphernalia, or substances designed to mimic illegal drugs.
• Weapons, ammunition, or explosives.
• Pornography or sexually explicit content.
• Stolen goods, counterfeit goods, or products that infringe on intellectual property rights.
• Tobacco, e-cigarettes, and vaping products.
• Alcohol.
• Adult content, pornography, and sexually oriented materials.
• Gambling, lotteries, and sweepstakes.
• Cryptocurrency, loans.
• Social media "followers," "likes," or "views.".
• Products that promote hate, violence, or discrimination.
• Weapons, firearms, and ammunition.
• Hazardous materials.
• Any other item/service of an illicit nature.

6.2 Conduct: You must not interfere with or disrupt the Services, transmit viruses or malware, or attempt to reverse engineer the ANKA Shop.

7. Intellectual Property

7.1 Your IP: You retain ownership of your content and products. By uploading content to ANKA operated by GSPlatform Co, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, and display your content solely for the purpose of operating the Services, promoting your products, and fulfilling orders.

7.2 ANKA’s IP: The visual interfaces, graphics, design, compilation, information, computer code, and platform of the Services are the property of ANKA operated by GSPlatform Co. You may not copy, modify, or distribute any part of our Services without our express written permission.

8. Privacy and Data

8.1 Privacy Policy: Your use of the Services is subject to our Privacy Policy.

8.2 Data Processing: To the extent that we process personal data on your behalf, we act as a Data Processor. You are responsible for ensuring you have the legal right to collect and share Customer data with us

9. Disclaimer of Warranties

The Services are provided "as is" and "as available." ANKA operated by GSPlatform Co disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will be error-free, secure, or uninterrupted. You use the Services at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, ANKA operated by GSPlatform Co shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• (a) Your access to or use of or inability to access or use the Services;
• (b) Any conduct or content of any third party on the Services; or
• (c) Unauthorized access, use, or alteration of your transmissions or content.

In no event shall ANKA’s aggregate liability for all claims relating to the Services exceed the greater of $100 USD or the amount of fees paid by you to ANKA operated by GSPlatform Co in the last twelve (12) months.

11. Indemnification

You agree to indemnify and hold harmless ANKA operated by GSPlatform Co, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with:

• (a) Your access to or use of the Services;
• (b) Your violation of these Terms;
• (c) Your violation of any third-party right, including intellectual property rights; or
• (d) The nature or content of the products you sell (e.g., product liability claims, failure to deliver).

12. Termination

12.1 Termination by You: You may terminate your account at any time by discontinuing use of the Services.

12.2 Termination by Us: We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

12.3 Survival: All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. General Terms

13.1 Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Delaware.

13.2 Changes: We may modify these Terms from time to time. If we make material changes, we will notify you through our dashboard or via email. By continuing to use the Services after those changes become effective, you agree to be bound by the revised Terms.

13.3 Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.

13.4 Suspension and Interruption of Access: ANKA operated by GSPlatform Co reserves the right at any time and at its sole discretion to suspend or interrupt access to the Platform or the Site and/or the operation of the Platform, in whole or in part, particularly for maintenance work, operational necessities, internal choices, or in case of emergency. ANKA operated by GSPlatform Co also reserves the right at any time and at its sole discretion to remove or modify any content, particularly for technical, commercial, or practical reasons.
